Observe Medical ASA: Notice of extraordinary general meeting on 10 October 2025 in connection with private placement

Reference is made to the announcement made by Observe Medical ASA (the "Company"
or "Observe Medical", OSE ticker "OBSRV") on 16 September 2025, regarding the
entry into of an investment agreement with Songa Capital AS (the "Investment
Agreement"). Pursuant to the Investment Agreement, Observe Medical will issue 20
million new shares to Songa Capital AS and other companies affiliated with the
Blystad group at a subscription price of NOK 0.50 per share, raising total gross
proceeds of NOK 10 million (the "Private Placement"). The Private Placement is
conditional upon the approval by the extraordinary general meeting of the share
capital increase pertaining til the Private Placement.

An extraordinary general meeting of the Company will be held on 10 October 2025
at 11:00 (CEST) (the "EGM"). The notice of the EGM, including agenda, proposed
resolutions, registration form, a form of proxy and other relevant documents, is
enclosed hereto.

As set out in the agenda for the EGM, the board of directors of the Company
proposes that the general meeting resolves to increase the Company's share
capital by NOK 8,400,000 through the issuance of 20,000,000 new shares to
complete the Private Placement.
