Reference is made to the stock exchange notice made by Hexagon Composites ASA
(the "Company") on 18 September 2025 regarding registration of the share capital
increase pertaining to the private placement announced by the Company on 16
September 2025. The Chairman of Hexagon Composites ASA, Knut Flakk and his
related parties have not sold any shares, but as a result of the dilutive effect
of the share capital increase, the consolidated shareholding in the Company has
fallen below the 10% disclosure threshold in section 4-2 of the Norwegian
Securities Trading Act. The consolidated shareholding of Knut Flakk and his
related parties in the Company remains unchanged at 22,568,314 shares, which
after the registration of the new share capital equals 8.95% of the shares and
voting rights of the Company.
This disclosure is made pursuant to Section 4-2 of the Norwegian Securities
Trading Act.
