Finanstilsynet Administrative Decision Relating to the Timing of the 2024 Annual Report

On 28 April 2025 the Company announced a delay in the publication of its 2024
annual report, with an explanation as to the cause of the delay.
The Company had begun the relisting process from Oslo Børs Euronext Expand to
Euronext Growth. The Company’s 2024 Annual Report was published on 22 May 2025,
22 days after the deadline applicable to issuers listed on Euronext Expand, but
within the deadline applicable to issuers listed on Euronext Growth. The Company
had, in April and prior to the deadline, informed Finanstilsynet of the
potential for delay.
However, despite the fact that the Company had applied for re-listing on
Euronext Growth and is now admitted to trading on Euronext Growth,
Finanstilsynet determined that it is obliged to impose a statutory
administrative sanction because the Company was still formally listed on
Euronext Expand at the relevant time. After considering the Company’s timely
notifications, explanations, and cooperation, Finanstilsynet concluded the
matter by applying a sanction of NOK 247,000.
The Company has elected not to appeal the decision, and the matter is
accordingly considered closed.
