Nordic Financials ASA – Exercise of Subscription Rights

Oslo, 17 September 2025
Reference is made to the resolution passed by the general meeting of Nordic
Financials ASA (the “Company”) on 28 May 2025 regarding the issuance of
standalone subscription rights as settlement for consultancy agreements.
Svend Egil Larsen (CIO) and Halldor Chr. Tjoflaaat (CEO) have, through their
wholly owned companies, exercised 26,666,666 subscription rights each at an
exercise price of NOK 0.015 per share. Each of them has thereby subscribed for
new shares for NOK 400,000. For details, see the attached form.
In total, 53,333,332 new shares have been subscribed, corresponding to gross
proceeds of NOK 800,000.
A separate notice will be published when the share capital increase has been
registered with the Norwegian Register of Business Enterprises.
