Huddly AS – Registration of share capital increase following the Private Placement

Oslo, 9 September 2025: Reference is made to the stock exchange announcement
published by Huddly AS (“Huddly” or the "Company", ticker: HDLY) on 8 September
2025 regarding the extraordinary general meeting held on the same date. The
general meeting inter alia approved the share capital increase related to the
private placement of 5,526,544 new shares in the Company (the "Private
Placement").

The issuance of the 5,526,544 new shares, each with a nominal value of NOK
0.0625 and a subscription price of NOK 11.00 per share, has been registered with
the Norwegian Register of Business Enterprises today. The Company’s new share
capital is NOK 1,649,364.06, divided into 26,389,825 shares, each with a nominal
value of NOK 0.0625 and carrying one voting right. The new shares carry full
rights, including the right to dividends, from the date of registration of the
share capital increase with the Norwegian Register of Business Enterprises. The
new shares will be tradeable as of today.
