(Oslo, 3 September 2025) The Board of Directors of Spotlio AS (the "Company")
has approved the Annual Report for the financial year ending 30 April 2025. The
Annual Report is attached together with the Audit statement.

The Annual Report shows for the financial year ending 30 April 2025, the Company
reported revenues of USD 7.3 million and a negative EBITDA of USD -1 million
(adjusted EBITDA of USD -0.8 million excluding for approximately USD 0.2 million
of one-time severance costs). This represents a significant improvement from the
reported EBITDA of USD -3.9 million in prior year (adjusted EBITDA of USD -2.9
million) and firmly sets the Company up for a profitable future.

In April 2025, Spotlio AS secured a 12-month renewal of the senior debt facility
agreed in April 2024 under the same conditions as the previous agreement. This
facility is now scheduled to mature in April 2026.
