REBIRTH S.p.A. announces the approval of the merger plan of LO.DA. Immobiliare S.r.l.

Formello, 3 September 2025 – Rebirth S.p.A. (ISIN Code: IT0005460081 - Ticker: ALREB), a dynamic company, specialized in the development and management of real estate assets, listed on the Euronext Growth Paris market, following what was announced in the press release of 27 July 2025, as part of the planned transaction that will end with the acquisition by Rebirth Spa of 100% of the shares of the LO.DA. Immobiliare S.r.l. – a real estate company that owns a property in the Municipality of Sesto San Giovanni (MI), used for the production of television programs – announces the approval by the Board of Directors, which took place on 2 September 2025, of the simplified merger plan, pursuant to Article 2505 of the Italian Civil Code, by incorporation of the same LO.DA. Immobiliare S.r.l. in Rebirth S.p.A.

A copy of the Merger Plan and the last 3 financial statements will remain available, as of September 2, 2025, at the Company's registered office and on the Company's website during the thirty days preceding the decision on the merger.
