Arribatec Group ASA – Major shareholding notification

Øystein Stray Spetalen has 1. September transferred all his shares in Ferncliff
Holding AS, which indirectly owns 120,998,793 shares in the Company
(corresponding to 25.109% of the shares and voting rights) and 85,735,763
warrants, in total 206,734,556 securities (corresponding to 36.421% of the
shares and voting rights), through the 100% controlled subsidiary Ferncliff
Listed DAI AS, which again is 100% owned by Ferncliff TIH AS (and 100% owned by
Ferncliff Holding AS), as equal (50/50) gifts to Sss AS and Jss Capital
Management AS, owned by Sophie Stray Spetalen og Jenny Stray Spetalen,
respectively.

Each warrant can be converted to one share in the Company at a subscription
price of NOK 0.10 and has a duration up to 7 February 2026.

Following the gifts made 1. September,

(*) Øystein Stray Spetalen owns (directly and indirectly) zero shares and voting
rights, and zero warrants, in the Company, and

(*) Ferncliff Holding AS owns (directly and indirectly) 120,998,793 shares in
the Company (corresponding to 25.109% of the shares and voting rights) and
85,735,763 warrants, in total 206,734,556 securities (corresponding to 36.421%
of the shares and voting rights).
