NEXT Biometrics Group ASA – Potential Private Placement to solve short term liquidity needs

Oslo, 20 August 2025: Reference is made to the stock exchange announcement
published earlier today whereby NEXT Biometrics Group ASA (OSE: NEXT) ("NEXT" or
the "Company") published its Q2 report.

The Company is planning a private placement of new shares at NOK 4.25 per share
to raise gross proceeds in the amount of minimum NOK 15 million and maximum NOK
20 million (the "Private Placement") to solve working capital needs and to
finance general corporate purposes and expected growth in the second half 2025.
Certain existing shareholders, including Norus AS, Valset Invest AS, HAAS AS and
Camiko AS (the "Existing Shareholders") have offered to underwrite at least NOK
15 million of the Private Placement, subject to customary conditions. The
underwriters will receive a underwriting commission of 3% of the underwritten
amount.
