KMC Properties ASA – New share capital registered

Oslo, 19 August 2025: Reference is made to the stock exchange announcement made
by KMC Properties ASA (the "Company") on 15 August 2025 regarding the
resolutions made by the extraordinary general meeting of the Company to inter
alia (i) increase the share capital in connection with the conversion of a
shareholder loan in the amount of NOK 4.5 million (plus accrued interest)
provided by BEWI Invest AS ("BEWI Invest"), and (ii) increase the share capital
in connection with the issuance of new shares to BEWI Invest for purposes of
facilitating a reverse share split.
The share capital increases referred to above have today been registered with
the Norwegian Register of Business Enterprises (Nw. Foretaksregisteret). The new
shares will be issued and registered in the CSD with ISIN NO 0010360175.
Following the registrations, the Company's registered share capital is NOK 9 896
658, divided into 494 832 900 shares, each with a nominal value of NOK 0.02.
