Prosafe SE (OSE: PRS) – Substantial shareholding disclosure

Reference is made to the stock exchange notice from Prosafe SE (“Prosafe” or the
“Company”) on 21 July 2025 in connection with the completion of a
recapitalization of the Company (the “Recapitalization”).

North Sea Strategic Investments AS, an entity wholly owned by HitecVision VII
L.P. (“North Sea Strategic Investments”) and HV VI Invest Sierra AS, an entity
wholly owned by HitecVision VI L.P. (“HV VI Invest Sierra”, and together with
North Sea Strategic Investments, the “Shareholders”), both managed by
HitecVision Advisory AS, holds 2,471,928 shares in the Company, of which North
Sea Strategic Investments holds 1,355,363 shares and HV VI Invest Sierra holds
1,116,565.

The number of shares in the Company held by the Shareholders remains unchanged,
however as a result of the Recapitalization the Shareholders’ holdings in the
Company have been diluted, bringing the aggregate holding from approximately
13.84 % of the Company’s outstanding shares and votes to approximately 0.72 %
following completion of the Recapitalization, of which approximately [0.40] % is
held by North Sea Strategic Investments and approximately 0.32 % is held by HV
VI Invest Sierra, thereby passing the 10% and 5% shareholding disclosure
thresholds in section 4-2 of the Norwegian Securities Trading Act.

The above is based on 339,504,369 outstanding shares in the Company upon
completion of the Reorganization. This disclosure is made pursuant to section
4-2, cf. section 4-4 (5), of the Norwegian Securities Trading Act.
