Airthings ASA: Update on contemplated sale of business segment assets

(Oslo, 8 July 2025) Reference is made to announcements on 29 April and 16 June
2025, regarding certain non-binding Letters of Intent (LOI) with, respectively,
Firda and Zehnder Group, for a potential sale of the company’s business segment
assets.
The Board and management of Airthings announced on 16 June 2025 that Airthings
would not enter a definitive agreement with Firda and instead pursue with an LOI
with Zehnder Group. While having engaged in a constructive process with Zehnder
Group in the period since the latest announcement, the parties have acknowledged
differing views on execution complexities and timing, and as a result mutually
decided to terminate the discussions and the previously announced LOI.
The company will now seek to re-engage its process with Firda, who previously
has completed its due diligence reviews, with the target of signing a definitive
agreement within a short time. The agreement can be submitted to an
extraordinary general meeting for approval in August. Subject to due approval
being obtained, completion will be expected to occur shortly thereafter, within
the end of August 2025.
The Board has also decided to reschedule the Q2 2025 earnings release from 19
August to 27 August 2025.
