Axactor ASA: Exercise of employee share options under long term incentive program

Key employees of Axactor ASA ("the Company") have on 1 July 2025 exercised
1,183,337 share options out of 1,650,004 vested share options under the
long-term incentive program, ESOP2022. The Board of Directors has decided in
accordance with the terms and conditions of the long-term incentive program, on
a cash settlement of the share options. After this share option exercise, the
Company has 466,667 outstanding share options under ESOP2022. New exercise
windows will be made available following the end of each quarter after the
announcement of the Company’s quarterly financial results.
The following primary insiders of the Company have exercised share options:

Kyrre Svae, Deputy CEO&CSO: 91,667 options
Nina Mortensen, CFO: 91,667 options
Arnt Andre Dullum, COO: 91,667 options
