Oslo, 24 June 2025. Reference is made to SoftwareOne Holding AG’s
("SoftwareOne") recommended voluntary share and cash offer for all issued and
outstanding shares in Crayon Group Holding ASA ("Crayon" or the "Company"), (the
"Offer"), as further set out in the combined offer document and prospectus (the
"Prospectus") for the Offer and secondary listing of SoftwareOne's shares on
Euronext Oslo Børs, dated 14 March 2025.
Reference is further made to the announcement published on 10 June 2025
regarding fulfilment of the closing conditions and issuance of the settlement
notification under the Offer.
As a part of the settlement and as agreed in the transaction agreement with
SoftwareOne, Crayon has resolved to terminate outstanding options and incentive
programs, including for members of the senior management, with cash
remuneration. The incentive programs for the below primary insiders and their
close associates have been terminated and cash-settled:

- Brede Huser, Chief Financial Officer
- Bente Liberg, CHRO
- Kyle Stephen Mulholland
- Melissa Mulholland, Chief Executive Officer
- Jon Birger Syvertsen, Chief Operating Officer

- Jens Rugseth, board member
- Lars Hatlen Larhammer, employee representative
- Grethe Helene Viksaas, board member
- Timothy Jay Herland, employee representative
