Clean Seas Seafood Limited (ASX: CSS) (“Clean Seas”, “CSS”, “the Company”)
refers to its announcements dated 31 March 2025, 15 April 2025 and 17 June 2025
regarding entry into a Scheme Implementation Deed (“SID”) with Yumbah
Aquaculture Ltd (“Yumbah”) under which Yumbah will acquire 100% of the shares in
CSS by way of a scheme of arrangement (“Scheme”).
As announced earlier today, the Federal Court of Australia ("Court") has made
orders:
• that the meeting of Clean Seas Shareholders to consider and vote on the Scheme
(“Scheme Meeting”) be rescheduled to 12:00pm (Adelaide time) on 8 July 2025; and
• approving the distribution to Clean Seas Shareholders of the supplementary
scheme booklet in connection with the Scheme (“Supplementary Scheme Booklet”).
A copy of the Supplementary Scheme Booklet is attached to this announcement.
Those Clean Seas Shareholders that have elected to receive electronic
communications from the Company will shortly receive an email providing access
to the Supplementary Scheme Booklet. A letter to Clean Seas Shareholders
advising where the Supplementary Scheme Booklet can be viewed and downloaded
will be dispatched by Friday, 20 June 2025.

together with the Scheme Booklet dated 13 May 2025 ("Scheme Booklet"), carefully
and in full before deciding whether to vote in favour of the Scheme.
