Notice of Rescheduled Second Court Hearing

Clean Seas Seafood Limited (ASX: CSS) (“Clean Seas”, “CSS”, “the Company”)
refers to its announcements dated 31 March 2025, 15 April 2025 and 17 June 2025
regarding entry into a Scheme Implementation Deed (“SID”) with Yumbah
Aquaculture Ltd (“Yumbah”) under which Yumbah will acquire 100% of the shares in
CSS by way of a scheme of arrangement (“Scheme”).
Today the Federal Court of Australia ("Court") has made orders:
• that the meeting of Clean Seas Shareholders to consider and vote on the Scheme
(“Scheme Meeting”) be rescheduled to 12:00pm (Adelaide time) on 8 July 2025; and
• approving the distribution to Clean Seas Shareholders of the supplementary
scheme booklet in connection with the Scheme (“Supplementary Scheme Booklet”).
The Scheme Meeting will be held in person at 12:00pm (Adelaide time) on Tuesday,
8 July 2025 at Grant Thornton, Level 3, 170 Frome Street, Adelaide SA 5000.
Subject to the Clean Seas Shareholders approving the Scheme by the requisite
majorities at the Scheme Meeting, the Court will hear an application by CSS to
approve the Scheme on 15 July 2025 at 10:00am (Adelaide time) at the Federal
Court of Australia (South Australia registry), Roma Mitchell Commonwealth Law
Courts Building, 3 Angas Street, Adelaide, South Australia 5000 ("Second Court
Hearing").
If you wish to oppose the approval of the Scheme by the Court at the Second
Court Hearing, you must file with the Court and serve on CSS a notice of
appearance, in the prescribed form, together with any affidavit on which you
wish to rely on at the Second Court Hearing. The notice of appearance and any
supporting affidavit must be served on CSS at its address for service at least
one (1) day prior to the date fixed for the Second Court Hearing.
