Crayon Group Holding ASA: Update on the Crayon Senior Unsecured Open Callable Bonds

Reference is made to SoftwareOne Holding AG's ("SoftwareOne") recommended
voluntary share and cash offer for all issued and outstanding shares in Crayon
Group Holding ASA ("Crayon"), as further set out in the combined offer document
and prospectus for the offer and secondary listing of SoftwareOne's shares on
Euronext Oslo Børs, dated 14 March 2025 (the "Offer"). Reference is further made
to the stock exchange announcements made by Crayon and SoftwareOne on 10 June
2025, where it was announced that the closing conditions had been fulfilled and
that settlement of the Offer will take place on or about 2 July 2025.
Subject to completion of the Offer and SoftwareOne becoming the majority
shareholder of Crayon, it is the intention that Crayon exercises the call option
to redeem all outstanding bonds under its Senior Unsecured Open Callable Bond
Issue 2024/2028 with ISIN NO 0013187989 (the "Bonds").
Further announcements are expected to be made in connection with closing of the
Offer.
