Oslo, 16 June 2025: Reference is made to Spir Group ASA's (the "Company") stock
exchange announcement on 27 May 2025 regarding (i) the issuance of 95,760 bonus
shares in connection with the Company's employee share purchase program for 2022
and (ii) the issuance of 191,814 new shares to two of the sellers of Aiot AS
pursuant to the share purchase agreement dated 28 April 2023 relating to Sikri
AS’ acquisition of 100% of the shares in Aiot AS.
The two share capital increases, in total comprising a share capital increase of
NOK 5,751.48 pertaining to the issuance of 287,574 new shares, have today been
registered with the Norwegian Register of Business Enterprises. The Company's
new share capital is NOK 2,659,047.24, divided on 132,952,362 shares, each with
a nominal value of NOK 0.02.
