Disclosure of large shareholding

Gulen Invest AS ("Gulen Invest"), a company controlled by Fitzroy Norge AS, has
today transferred 36 827 738 shares in B2 Impact ASA to its subsidiary Nevedal
Invest AS ("Nevedal Invest"). Following completion of the transaction, Gulen
Invest no longer holds shares in B2 Impact ASA and Nevedal Invest holds 36 827
738 shares and votes in B2 Impact ASA, equal to 9.9% of the total share capital.
Nevedal Invest is a company owned by Gulen Invest AS and SOF II B2I UK, a legal
entity ultimately controlled by Searchlight Opportunities Fund II GP, L.P.
Furthermore, as referred to in the disclosure on 14 May 2025, Nevedal Invest has
conditionally agreed to acquire 52,913,000 shares in B2 Impact ASA on such terms
and conditions as set out in the disclosure. Subject to satisfaction of the
conditions set out in the announcement made on 14 May 2025, Nevedal Invest will
at completion of said transaction hold in total 89,740,738 shares and votes in
B2 Impact ASA, corresponding to approximately 24.35% of the total shares and
votes. This disclosure is made pursuant to Section 4-2 of the Norwegian
Securities Trading Act.
