Morrow Bank ASA: Minutes from the extraordinary general meeting

The extraordinary general meeting of Morrow Bank ASA was held today, 4 June
2025. The minutes from the meeting are attached to this notice.

All items on the agenda were resolved in accordance with the proposals.
Following this, Morrow Bank ASA will continue the process of merging Morrow Bank
ASA with its subsidiary Morgon Finans AB (to be renamed Morrow Bank AB). Morgon
Finans AB holds a Swedish banking license and will be the surviving entity in
the merger. The estimated completion date for the merger is 1 January 2026, and
at the latest, during the course of January 2026.
