KMC Properties ASA secures NOK 4.5 million in shareholder loan

Oslo, 23 May 2025: KMC Properties ASA ("KMCP" or the "Company") is pleased to
announce that it has entered into a loan agreement with Bewi Invest AS ("Bewi
Invest") under which NOK 4.5 million is made available for drawdown, in whole or
in parts, upon request by the Company (the "Loan").
The Loan shall be applied for the purpose of financing the Company's evaluation
of investment alternatives for regaining operational activities in the Company,
directly or through subsidiaries, and for general corporate purposes.
The Company may at any time repay the Loan in whole or in parts, and the Loan,
including accrued interest, matures in full 12 months from the date of the loan
agreement. Bewi Invest shall have the right to request that all or part of the
Loan, together with any accrued interest, shall be settled by the issuance of
new shares in the Company. The conversion rate shall be NOK 0.058 per share, or
in the event a share capital increase has been resolved by the Company in the
period from the date of the loan agreement and until the request for conversion,
the conversion rate shall be equal to the subscription price in the latest share
capital increase resolved prior to the request for conversion, less a discount
of 10%.
Conversion of the Loan is subject to necessary corporate resolutions being made
by KMCP.
