Subscription period for employee share program completed

As announced on 22 January 2025, KONGSBERG has awarded DNB Markets a mandate to
purchase shares for a total value of up to NOK 360 million in KONGSBERG. The
mandate relates to the buy-back of shares in the company's employee share
programme. DNB Markets started purchasing shares on 9 May 2025, and the
purchases will be completed by 10 June 2025.
A total of 8,947 employees participated in the share program, an increase of
more than 3,000 employees from last year. KONGSBERG's maximum limit for the
share programme is NOK 360 million and the total allocation will be reduced to
this amount. Participants who chose to subscribe for the maximum amount will due
to over-subscription be allotted shares for NOK 44,650 after proration.
The shares will be transferred to the employees who have chosen to participate
immediately after the completion of the purchases. The number of shares the
participants will be allocated will be based on the average price the shares are
purchased for and will be decided after the purchases are completed. DNB will
make its decisions related to the purchase of the shares, regardless of -and
without influence from KONGSBERG withs regard to the time of purchase.
This announcement provides an overview of primary insiders and related parties
who have ordered shares through the programme. The amount is before a discount
of 25%. There is a one-year lock-in period on the shares.
