Initiating Share Buyback Program

Oslo, Norway, May 7, 2025 – The Board of Pexip Holding ASA ("Pexip" or "The
Company", Oslo Børs Ticker: PEXIP), has decided to initiate a share buyback
program today, 7 May 2025.
The program has a maximum funding of NOK 100 million, and will seek to buy back
a maximum of 2,000,000 shares. This is equivalent to approx. 1.9% of the share
capital. The program will end no later than 30 September 2025. The purpose of
the program is to cover future obligations to deliver shares as part of the
Company’s share-based compensation plans.
The program is in accordance with the authorization granted to the Board by the
Annual General Meeting of Pexip Holding ASA held on April 25, 2025. The share
buyback program will be carried out by way of repurchases in the market. Pexip
has entered into a non-discretionary agreement with a third party who will make
its trading decisions independently of, and uninfluenced by, Pexip. In
accordance with the authorization from the AGM, the minimum price that can be
paid per share is NOK 1, and the maximum price is NOK 200. The maximum numbers
of own shares that can be purchased by the company is limited to 10,400,000.
Transactions will be conducted in accordance with the Market Abuse Regulation
(EU) No 596/2014 ("MAR") and Commission Delegated Regulation (EU) No 2016/1052
("Safe Harbour Regulation") as further set out in the Norwegian Securities
Trading Act of 2007 and the Oslo Stock Exchange's Guidelines for buy-back
programs and price stabilisation dated February 2021. Transactions will be
reported on a weekly basis.
