Reference is made to the stock exchange announcement by AMSC ASA (under
liquidation) (AMSC) on 1 April 2025 regarding, among other things, distribution
of 91,422,601 shares in Solstad Maritime ASA (previously Solstad Maritime
Holding AS) (SOMA) as dividend-in-kind to its shareholders in connection with
the listing of SOMA on Euronext Oslo Børs.
On 24 April 2025 the annual general meeting of AMSC resolved to approve
distribution of the dividend-in-kind, conditional upon necessary approvals by
Euronext Oslo Børs related to the listing of SOMA on Euronext Oslo Børs. AMSC
has been informed by SOMA that it has received the necessary approvals related
to its listing on Euronext Oslo Børs. The conditions for distribution of the
dividend in-kind have thereby been satisfied.
Last day of trading of the AMSC share including the rights to receive 1.272 SOMA
shares per share held in AMSC (rounded down to the nearest whole number of
shares) is today, 6 May 2025. In the event there are shares remaining after
rounding, such shares will be sold by AMSC for cash in the market without direct
compensation to shareholders. Proceeds from such sale will be part of the final
liquidation payment to shareholders.
Further, for shareholders subject to withholding tax, a portion of the dividend
shares will be withheld and sold by AMSC for cash in the market to cover such
tax.
The dividend will be paid (with delivery to VPS accounts) no later than before
start of trading on the first day of listing of SOMA's shares on Euronext Oslo
Børs, which is expected on or about 16 May 2025. The shares in SOMA are expected
to be tradable on Euronext Oslo Børs from the first day of listing of SOMA.
