Wilh. Wilhelmsen Holding ASA: Minutes of Annual General Meeting 2025

The Annual General Meeting of Wilh. Wilhelmsen Holding ASA was held today,
Wednesday 30 April 2025, as a digital meeting with online participation.

All resolutions were made in accordance with the proposals from the board of
directors and the nomination committee, cf. notice of the Annual General Meeting
published on NewsWeb Oslo Børs on 8 April 2025, with an additional confirmation
under item 5 related to approval of auditor fees also for the limited assurance
of the company’s sustainability reporting.

The Annual General Meeting approved the board's proposal to distribute a
dividend of NOK 12.00 per share. The dividend accrues to the shareholders as of
30 April 2025, cf. key information related to cash dividend published on NewsWeb
Oslo Børs on 13 February 2025.

Enclosed are the minutes of the Annual General Meeting in Norwegian (signed
original) and English (office translation). The English translation of the
minutes will also be made available on the company website wilhelmsen.com.
