Nordic Financials ASA – New share capital registered

Oslo, Norway, 28 April 2025
Reference is made to the stock exchange announcement by Nordic Financials ASA
(the "Company") on 14 April 2025 regarding conversion of the convertible loan in
the amount of NOK 2,000,000 (the "Convertible Loan") including interest into new
shares in the Company.

The share capital increase related to the conversion of the Convertible Loan has
now been registered in the Norwegian Register of Business Enterprises. The
Company's new share capital is NOK 12,597,919.83 divided into 1,259,791,983
shares, each with a nominal value of NOK 0.01.

The new shares are expected to be delivered to the subscribers' VPS accounts as
soon as possible.
