share buyback agreement

Paris – April 24, 2025 – Publicis Groupe [Euronext Paris FR0000130577, CAC 40] appointed as of today, an Investment Services Provider to implement a program for the acquisition of its own shares, for a maximum amount of 150 million euros.

The purpose of this program is to satisfy the obligations arising under the existing free share long-term incentive plans in favor of its employees, without issuing new shares.

This program will begin on April 25, 2025, and will end no later than June 30, 2025.

This program will be executed in accordance with the terms of the authorization as granted by the Shareholders’ General Meeting ⁽¹⁾.

The description of the share repurchase program authorized by the Shareholders’ General Meeting of May 29, 2024 is available in the 2023 Universal Registration Document (section 8.3.3) published here on the Groupe website.

(1)   The authorization granted by the Shareholders’ General Meeting on May 29, 2024, or the authorization to be granted by the Shareholders’ General Meeting to be held on May 27, 2025, as the case may be.
