Reference is made to previous stock exchange notices regarding the merger of
Sparebanken Vest and Sparebanken Sør.
Prior to the merger between the banks, Sparebankstiftinga Hardanger holds
11,954,394 equity capital certificates in Sparebanken Vest, corresponding to a
percentage of issued equity capital certificates of approx. 10.90 percent. Upon
completion of the Merger, on 2 May 2025, Sparebankstiftinga Hardanger's
ownership will correspond to approx. 7.05 percent of the issued equity capital
certificates in the merged bank, Sparebanken Norge.
Prior to the merger between the banks, Sparebankstiftelsen Sparebanken Sør holds
1,580,456 equity capital certificates in Sparebanken Vest, corresponding to a
percentage of issued equity capital certificates of approx. 1,44 percent. In
connection with the completion of the merger, 15,383,401 equity capital
certificates will be issued to Sparebankstiftelsen Sparebanken Sør as
consideration for existing equity capital certificates in Sparebanken Sør. Upon
completion of the Merger, on 2 May 2025, Sparebankstiftelsen Sparebanken Sør's
ownership will correspond to approx. 10,00 percent of the issued equity capital
certificates in Sparebanken Norge.
Prior to the merger between the banks, Alfred Berg, on a consolidated basis
through Verdipapirfondet Alfred Berg Gambak, Verdipapirfondet Alfred Berg Norge,
Verdipapirfondet Alfred Berg Aktiv, Verdipapirfondet Alfred Berg Restricted,
Verdipapirfondet Norne Aksje Norge, Verdipapirfondet Alfred Berg Nordic Small
Cap ESG and Verdipapirfondet Alfred Berg Kombi, owns a total of 5,694,829 equity
capital certificates in Sparebanken Vest, corresponding to approx. 5.19 percent
of the issued equity capital certificates. Upon completion of the merger, on
2 May 2025, Alfred Berg's consolidated ownership will correspond to approx.
3.36% of the issued equity capital certificates in Sparebanken Norge.
Each equity capital certificate represents one vote at the equity capital
certificate holder's meeting. No one may cast votes for equity capital
certificates representing more than 15 percent of the total number of issued
equity capital certificates in the bank.
