Sparebanken Sør: Distribution of remaining bonus equity capital certificates

Reference is made to the stock exchange announcement dated 28 November 2023
regarding the successful bookbuilding and sale of existing equity capital
certificates in Sparebanken Sør, carried out by Sparebankstiftelsen Sparebanken
Sør (the "Foundation") (the "Offering") as well as the stock exchange
announcements dated 15 November 2024 and 13 December 2024 regarding delivery and
distribution of the first 50% of the bonus equity capital certificates in
Sparebanken Sør ("Bonus ECCs"), as well as the announcement dated 25 March 2025
regarding information on the delivery of the remaining 50% of the Bonus ECCs
shortly before completion of the merger with Sparebanken Vest.

The Foundation has today, in accordance with the terms described in the
prospectus for the Offering dated 20 November 2023, made distribution of the
remaining 50% of the Bonus ECCs to qualifying investors. In connection with the
aforementioned, a total of 142917 Bonus ECCs have been distributed. No Bonus
ECCs are outstanding following this last and final distribution.

The remaining 50% of the Bonus ECCs will be registered on the VPS accounts of
the qualified investors, including primary insiders and their close associates
as shown below:

• Erik Edvard Tønnesen, board member, will receive 40 Bonus ECCs
• Geir Bergskaug, CEO, will receive 200 Bonus ECCs
• Knut Ruhaven Sæthre, chairman of the board, will receive 80 Bonus ECCs
• Lord 1 AS, close associate of board member Erik E. Tønnesen, will receive 161
Bonus ECCs
• Mette Ramfjord Harv, deputy chairman board, will receive 20 Bonus ECCs
• Pål Ekberg, EVP Retail Market, will receive 64 Bonus ECCs
• Rolf Horst Søraker, EVP Group Head Office, will receive 16 Bonus ECCs
• Steinar Heggland Vigsnes, CFO, will receive 64 Bonus ECCs
• Tor Kim Steinsland, Deputy board member, will receive 20 Bonus ECCs
• Trond Randøy, board member, will receive 32 Bonus ECCs

The Foundation has, following the distribution of the remaining 50% of the Bonus
ECCs, reduced its ownership stake in Sparebanken Sør by 0.34%. The Foundation
now owns 10 706 076 equity capital certificates in Sparebanken Sør,
corresponding to 25.67 % of the issued equity capital certificates in
Sparebanken Sør.
