Subscription by and conditional allocation to primary insiders in Pryme N.V. in
a private placement

Rotterdam, April 10th, 2025

Reference is made to the private placement announced by Pryme N.V. (the
“Company”) on April 10th, 2025, subject to shareholder approval in an
extraordinary general meeting of shareholders to be held on April 28th, 2025
(the “Private Placement”).

Circular Plastics Coöperatief U.A., a person closely associated with Mr Jan
Willem Muller, a member of the supervisory board of Pryme N.V., has on April
10th, 2025 been allocated 2,827,826 new shares in the Private Placement
corresponding to an equity investment of EUR € 3.5 million in the Company.

Taranis Investment Limited, a person closely associated with Mr. Emmanuel
Colombel, a member of the supervisory board of Pryme N.V., has on April 10th,
2025 been allocated 2,827,826 new shares in the Private Placement corresponding
to an equity investment of EUR € 3.5 million in the Company.
