AGILYX ASA – Exemption from mandatory offer obligation

Saffron Hill Ventures 2 LP (“SHV2”) currently holds 42,562,365 shares in Agilyx
ASA (the “Company”), representing approximately 38.80% of the outstanding shares
and votes. Since SHV2 is approaching the end of its term, it has transferred
34,746,761 shares (the “Transfer”) to Saffron Hill Ventures 3 LP (“SHV3”).
The Transfer will result in SHV3, together with SHV2, owning more than one-third
of the shares and voting rights in the Company, thus triggering a mandatory
offer obligation for SHV3 pursuant to the Norwegian Securities Trading Act
(“STA”) Section 6-1, cf. Sections 6-6 (1) and (2). SHV3 has therefore applied
for an exemption from the mandatory offer obligation in the Company, pursuant to
STA Section 6-2 (3), cf. Section 6-5 (1), cf. Section 6-1 (6).
The Oslo Stock Exchange, in its capacity as takeover supervisory authority, has
in a decision dated 31 March 2025 resolved to grant an exemption from the
mandatory bid obligation pursuant to STA Section 6-2 (3), cf. Section 6-5 (1),
cf. Section 6-1 (6).
SHV2’s remaining shares in the Company will be transferred out of SHV2 before
its dissolution, which will not be initiated for at least 12 months.
