Reference is made to the stock exchange announcement dated 28 November 2023
regarding the successful bookbuilding and sale of existing equity capital
certificates ("Offer ECCs") in Sparebanken Sør, carried out by
Sparebankstiftelsen Sparebanken Sør (the “Foundation”) (the “Offering”) as well
as the stock exchange announcements dated 15 November 2024 and 13 December 2024
regarding delivery and distribution of the first 50% of the bonus equity capital
certificates in Sparebanken Sør ("Bonus ECCs") and that the remaining 50% of the
Bonus ECCs will be delivered shortly before completion of the merger with
Sparebanken Vest.
As described in the prospectus for the Offering dated 20 November 2023 and in
the stock exchange announcement of 20 November 2023, investors in the retail
offering have the right to receive, without further consideration, one (1) Bonus
ECCs for every tenth (10.) Offer ECCs allocated and delivered to such investor
up to an amount of NOK 500 000 (the allocated and delivered Offer ECCs that give
a right to Bonus ECCs are referred to as "Eligible ECCs").
The right for an investor to receive (i) the first 50% of its Bonus ECCs,
rounded down to the nearest whole Bonus ECC, and (ii) the remaining 50% of its
Bonus ECCs, rounded up to the nearest whole Bonus ECC, is conditional upon the
relevant investor not selling or otherwise transferring any of the Eligible
ECCs, including any received Bonus ECCs, between the date of delivery of the
Eligible ECCs and 12 months after delivery of the Eligible ECCs and 24 months
after delivery of the Eligible ECCs, respectively.
The first 50 % of the Bonus ECCs were delivered to the eligible investors' VPS
account on 13 December 2024. Investors seeking to retain the right to receive
the remaining 50% of its Bonus ECCs must have held their Eligible ECCs
continuously from 29 November 2023 to and including 1 April 2025.
It is expected that the remaining 50% of the Bonus ECCs will be registered in
the eligible investors’ VPS accounts around 22 April 2025.
The Bonus ECCs will be delivered by the Foundation, and the Foundation will
cover all costs associated with such delivery.
