Extension of Exclusivity Period with Yumbah

Clean Seas Seafood Limited (ASX: CSS) (“Clean Seas”, “CSS”, “the Company”)
refers to its announcement dated 19 February 2025 regarding the entering into a
Process Deed (“Process Deed”) granting Yumbah Aquaculture Ltd (“Yumbah”) a
period of exclusivity to undertake due diligence and negotiate a binding Scheme
Implementation Deed (“SID”) in respect of Yumbah’s proposal to acquire 100% of
the shares in the Company by way of a scheme of arrangement (“Proposal”).
Clean Seas has agreed to extend Yumbah’s exclusivity period by one week to
Monday, 31 March 2025 on the same terms as previously announced to allow the
finalisation of due diligence and agree the terms of the SID.
Clean Seas shareholders do not need to take any action in relation to the
Proposal. The Independent Board Committee (“IBC”) will continue to keep
shareholders and the market informed of developments.
The IBC notes that there is no certainty that the engagement between Clean Seas
and Yumbah will result in a change of control transaction or an offer capable of
acceptance by Clean Seas shareholders.
