Oslo, 24 March 2025: Reference is made to the stock exchange announcement
published by XXL ASA (the "Company") on 16 March 2025 regarding the final
results of the fully underwritten rights issue of 60,000,000 new shares in the
Company, each with a nominal value of NOK 0.10, at a subscription price of NOK
10 per share (the "Rights Issue") and the board of directors' resolution to
increase the share capital in connection with settlement of fees to the
underwriters in the Rights Issue and the bridge loan guarantors.
The share capital increases pertaining to the issuance of (i) 60,000,000 new
shares, divided into 48,688,716 ordinary class A shares ("A Shares") and
11,311,284 non-voting class B shares ("B Shares") in the Rights Issue, (ii)
1,889,997 new shares, divided into 1,533,689 A Shares and 356,308 B Shares in
connection with the settlement of underwriting commission, and (iii) issuance of
the 1,000,000 new shares, divided into 260,920 A Shares and 739,080 B Shares in
connection with the settlement of commission to the bridge loan guarantors have
today been registered with the Norwegian Register of Business Enterprises (Nw.
Foretaksregisteret). The new class A Shares will be issued in Euronext
Securities Oslo (CSD) on the listed ISIN NO 0013293142 and the new class B
Shares will be issued in CSD on the unlisted ISIN NO 0013293159.
The Company's registered share capital is NOK 8,752,574.20 divided into
70,474,705 A Shares and 17,051,037 B Shares, in total 87,525,742 shares, each
with a nominal value of NOK 0.10.
Further, on 16 March 2025, the Company announced that the number of A shares to
be delivered in connection with the settlement of the underwriting commission
was 1,533,589 A Shares. Please note that the correct number of A Shares to be
issued for this purpose amounts to 1,533,689.
