NCOD: Notice of extraordinary general meeting in connection with the Private Placement and Subsequent Offering

Reference is made to the stock exchange notice from Norcod AS (the “Company”) on
27 February 2025 regarding the successful completion of a private placement of
13,724,225 new shares in the Company at a subscription price of NOK 12 per share
(the “Offer Price”) raising gross proceeds of approx. NOK 165 million (the
“Private Placement”) and a potential subsequent offering of new shares at a
price equal to the Offer Price (the “Subsequent Offering”).

The Company hereby calls for an extraordinary general meeting to be held on 14
March 2025 at 10:00 (CET) at the Company's premises to resolve:

(i) Capital increase to issue the shares in the Private Placement; and
(ii) Authorisation to carry out and to issue shares in the Subsequent Offering.

announcement and will also be made available on the Company's webpage.
