Endúr ASA – Notice of Extraordinary General Meeting 2024

11 February 2025 – Reference is made to the stock exchange announcements made by
Endúr ASA ("Endúr") on 10 and 11 February 2025 regarding Endúr's contemplated
acquisitions of 100% of the shares in Total Betong AS, Igang Totalentreprenør
AS, and Habto Holding AS, including 100% of the shares in HAB Construction AS
and between 51% and 100% of the shares in ProPoint Survey AS (jointly, the
"Totalbetong Acquisitions"), a successful placement and conditional allocation
of 4,861,111 new shares in Endúr to raise gross proceeds of NOK ~350 million
(the "Private Placement"), and a potential subsequent offering of up to 555,555
new shares in Endúr (the "Subsequent Offering").

Endúr hereby calls for an extraordinary general meeting to be held on Tuesday, 4
March 2025 at 11:00 CET in relation to inter alia the Totalbetong Acquisitions,
the Private Placement, the Subsequent Offering.

The general meeting will be held as a digital meeting only via

The notice of the general meeting is attached to this announcement and will,
together with its appendices and further information and guidelines for
electronic participation, also be made available on Endúr's website,
www.endur.no (Endúr ASA > Investor Relations).

Shareholders receiving the paper version of the notice of the general meeting
