Oslo, 30 January 2025
Reference is made to the previous stock exchange announcements from Arribatec
Group ASA (the “Company”) regarding the offer of up to 350 million new shares
(“Offer Shares”) in a rights issue, raising gross proceeds of NOK 35 million
(the “Rights Issue”).
Reference is also made to the Company's stock exchange announcement on 29
January 2025 regarding preliminary results of the Rights Issue.
The subscription period for the Rights Issue expired on 29 January 2025, at
16.30 hours (CET). The Company's Board of Directors has now resolved allocation
of the Offer Shares in accordance with the allocation criteria set out in the
prospectus prepared by the Company dated 13 January 2025.
As the Right Offer was oversubscribed, 350 million Offer Shares have been
allocated based on valid subscriptions received during the Subscription Period.
Consequently, no Offer Shares have been allocated to underwriters as part of
their underwriting obligations.
Notification of allocated Offer Shares and the corresponding subscription amount
to be paid by each subscriber will be distributed on or about 30 January 2025.
The payment date for the Offer Shares is 3 February 2025.
The Offer Shares may not be transferred or traded before they have been fully
paid by all subscribers and the share capital increase pertaining to the Rights
Issue has been registered with the Norwegian Register of Business Enterprises.
Subject to timely payment of the aggregate subscription amount in the Rights
Issue, it is expected that the Company's new share capital following the Rights
Issue will be registered with the Norwegian Register of Business Enterprises on
or about 5 February 2025 and that Offer Shares will be delivered to subscribers
on or about 6 February 2025. Subject to the aforementioned, the Offer Shares are
expected to become tradable on the Oslo Stock Exchange on or about 6 February
2025.
