An extraordinary general meeting of XXL ASA ("XXL" or the "Company") was held on
10:00 hours (CET) today, 29 January 2025 by electronic means through Lumi AGM.
All items on the agenda were resolved in accordance with the board of directors'
proposals, including the fully underwritten rights issue in the Company to raise
gross proceeds of NOK 600 million. Please see attached a copy of the minutes
from the extraordinary general meeting.

The full terms and conditions for the rights issue will be included in a
prospectus which will be published prior to the commencement of the subscription
period for the rights issue. The subscription period is expected to commence at
09:00 hours (CET) on 28 February 2025 and expire at 16:30 hours (CET) on 14
March 2025.
