Arribatec Group ASA: Mandatory notification of trade

Reference is made to Arribatec Group ASA’s (the “Company”) stock exchange
announcement on 2 December 2024 and 15 January 2025 relating to the private
placement directed towards the Company’s directors (the “Director Offering”) of
a total of up to 60 million new shares in the Company and a rights offering
(“Rights Issue”) of up to 350 million new shares (the “Offer Shares”), each at a
subscription price of NOK 0.10 per Offer Share (the “Subscription Price”). The
Rights Issue and Director Offering were approved by the Extraordinary General
Meeting of the Company on 2 December 2024.
The following persons discharging managerial responsibilities (“PDMRs”) in the
Company have subscribed for and been allocated the following Offer Shares at the
Subscription Price:
Håkon Reistad Fure, chairperson of the Company, has subscribed for 25,000,000
Offer Shares. Håkon Reistad Fure has been granted 25,000,000 warrants in the
Company. Fure has subsequently sold the shares and the warrants to Company One
AS, a company wholly owned by Håkon Reistad Fure.
Company One AS has subscribed for 4,698,831 shares in the Rights Issue.
Following the completion of these transactions, companies affiliated with Håkon
Reistad Fure will own 30,627,137 shares and 25,000,000 warrants in the Company,
corresponding to more than 5% of the shares outstanding in the Company following
the completion of the Director Offering and the Rights Issue.
Terje Mjøs, member of the board of directors, has subscribed for 22,500,000
Offer Shares. Mjøs has been granted 22,500,000 warrants in the Company. Mjøs has
subsequently sold the shares and the warrants to Terje Mjøs Holding AS, a
company wholly owned by Terje Mjøs.
Terje Mjøs Holding AS has subscribed for 905,534 shares in the Rights Issue.
Following the completion of these transactions, companies affiliated with Terje
Mjøs will own 23,585,534 shares and 22,500,000 warrants in the Company.
Henrik A. Christensen, member of the board of directors, has subscribed for
12,500,000 Offer Shares. Christensen has been granted 12,500,000 warrants in the
Company. Christensen has subsequently sold the shares and the warrants to August
Industrier AS, a company wholly owned by Henrik A. Christensen.
Following the completion of these transactions, companies affiliated with Henrik
A. Christensen will own 12,500,000 shares and 12,500,000 warrants in the
Company.
Please find attached the notifications for persons discharging managerial
responsibilities in accordance with Regulation EU 596/2014 (MAR) article 19 and
section 5-12 of the Norwegian Securities Trading Act.
