3 - 2025 5th Planet Games Announces Intention to Carry Out a Group Internal Merger

COPENHAGEN, January 13, 2025, 5th Planet Games A/S (OAX: 5PG) announces the
signing of a joint merger plan with the intention to carry out a group internal
merger.

The proposed merger is between 5th Planet Games A/S and its wholly owned
subsidiary 5th Planet Games Development ApS. 5th Planet Games A/S will be the
continuing company, while 5th Planet Games Development ApS will be dissolved
without liquidation by transferring its assets and liabilities as a whole to 5th
Planet Games A/S.

The purpose of the merger is to simplify the group structure and eliminate
unnecessary administrative burdens and costs. As the merger is a group internal
merger, the merger will have no effect on the value of 5th Planet Games A/S.

The merger will have accounting effect from 1 January 2024.

No new shares will be issued as part of the merger.

The merger plan has been submitted to the Danish Business Authority for
publication.

As soon as the merger plan has been published for 4 weeks by the Danish Business
Authority, it is the intention of 5th Planet Games A/S and 5th Planet Games
Development ApS to resolve to carry out the merger by way of resolutions of the
board of directors of 5th Planet Games A/S and the executive board of 5th
Planets Games Development ApS. As such, a general meeting resolution will only
be necessary for the completion of the merger if shareholders representing 5 %
or more of the shares in 5th Planet Games A/S request it.

As part of the merger, 5th Planet Games A/S will adopt the name of 5th Planet
Games Development ApS and its secondary names as new seconday names.
