Spir Group ASA: New share capital registered

Oslo, 23 December 2024: Reference is made to Spir Group ASA's (the "Company")
stock exchange announcement on 29 November 2024 regarding the issuance of up to
440,000 new shares in the Company in connection with the completion of the
Company's employee share purchase program for 2024 (the "ESPP 2024").

The share capital increase of NOK 8,800 pertaining to the issuance of the
440,000 ESPP 2024 shares has today been registered with the Norwegian Register
of Business Enterprises. The Company's new share capital is NOK 2,649,034.38,
divided on 132,451,719 shares, each with a nominal value of NOK 0.02.
