Acquisition of shares in subsidiary

Sea1 Offshore Inc. has agreed to purchase the shares in Sea1 AHTS Pool AS owned
by a minority shareholder, representing 22% of the shares in the company.
Following the transaction, Sea1 Offshore Inc. will own 100% of the shares in
Sea1 AHTS Pool AS, which owns five AHTS vessels.
