Subscription by and conditional allocation to primary insiders in Pryme N.V. in
a private placement

Rotterdam, December 16th, 2024

Reference is made to the private placement announced on December 16th, 2024,
subject to shareholder approval in an extraordinary general meeting of
shareholders to be held on January 14th, 2025 (the “Private Placement”).

Circular Plastics Coöperatief U.A. (“Circular”), a person closely associated
with Mr Jan Willem Muller, a member of the supervisory board of Pryme N.V. (the
"Company"), has on December 16th, 2024 been allocated 13,468,018 new shares
corresponding to an investment of EUR € 2.0 million in the Private Placement.
Furthermore, Circular has received 20,202,027 options to acquire a total of
20,202,027 shares in Pryme N.V. at a price of EUR 0.1485 per share. Circular has
also issued 20,202,027 put options to the Company for the Company to sell a
total of 20,202,027 shares to Circular for a price at EUR 0.1485 per share
subject to certain conditions precedent. The allocation of new shares and the
issuance of options are subject to approval by the Company’s shareholders.

Taranis Investment Limited (“Taranis”), a person closely associated with Mr.
Emmanuel Colombel, a member of the Company’s supervisory board, has on December
16th, 2024 been allocated 13,468,023 new shares corresponding to an investment
of EUR € 2.0 million in the Private Placement. Furthermore, Taranis has received
20,202,035 options to acquire a total of 20,202,035 shares in Pryme N.V. at a
price of EUR 0.1485 per share. Taranis has also issued 20,202,035 put options to
the Company for the Company to sell a total of 20,202,035 shares to Taranis for
a price at EUR 0.1485 per share subject to certain conditions precedent. The
allocation of new shares and the issuance of options are subject to approval by
the Company’s shareholders.
