BIOFISH HOLDING AS Agreement to acquire Biofish Land AS completed

Ljones, 6 December 2024: BioFish has completed the acquisition of 100 per cent
of the shares in Biofish Land AS, which owns the land where the BioFish
facility is located.

The seller is Biofish Aquafarms AS. Settlement of the transaction, which was
agreed during the first quarter of 2023, will be carried out as soon as
practicable through the issuance of 8.55 million shares, 8.55 million warrants
and repayment of net debt of approximately NOK 4 million in Biofish Land AS.
