Norconsult ASA: Settlement of Employee Share Program 2023 ("Gift Shares")

Sandvika, 11 November 2024 (OSE: NORCO): Reference is made to the announcement
by Norconsult ASA (the "Company") regarding the Employee Share Program (the
"Share Program") described in the announcement from 10 November 2023 in
connection with the Company's first day of trading on Oslo Stock Exchange (the
"IPO"). As part of the Share Program, the Company will distribute 2 575 shares
to employees 12 months after the IPO, provided that they meet the conditions as
set out in the Share Program.

The vesting period for the Share Program has concluded and 5 046 employees will
be allocated 2 575 shares each. The shares will be transferred as soon as
possible after 11 November 2024 and will be distributed from Norconsult's
holding of own shares. After the transactions the Company holds 9 077 367
shares.

The following primary insiders of the Company have been allocated the following
numbers of shares under the Share Program:

· Anna Bolneset, deputy board member, has been allocated 2 575 gift shares.
After the transaction, Anna Bolneset and her close associates holds 55 641
shares in the Company.
· Anne Jenny Bergseth, board member, has been allocated 2 575 gift shares.
After the transaction, Anne Jenny Bergseth and her close associates hold 35 905
shares in the Company.
· Bård Sverre Hernes, EVP Norway Head Office, has been allocated 2 575 gift
shares. After the transaction, Bård Sverre Hernes and his close associates hold
1 337 628 shares in the Company.
· Birgitte Lunde Hartmann, deputy board member, has been allocated 2 575 gift
shares. After the transaction, Birgitte Lunde Hartmann and her close associates
hold 86 746 shares in the Company.
· Dag Fladby, CFO, has been allocated 2 575 gift shares. After the
transaction, Dag Fladby and his close associates hold 216 507 shares in the
Company.
· Egil Hogna, President and CEO, has been allocated 2 575 gift shares. After
the transaction, Egil Hogna and his close associates hold 1 150 623 shares in
the Company.
· Erlend Haugland Næs, deputy board member, has been allocated 2 575 gift
shares. After the transaction, Erlend Haugland Næs and his close associates hold
145 506 shares in the Company.
· Farah Al-Aieshy, EVP Sweden, has been allocated 2 575 gift shares. After the
transaction, Farah Al-Aieshy and her close associates hold 172 371 shares in the
Company.
· Harald Trosvik, board member, has been allocated 2 575 gift shares. After
the transaction, Harald Trosvik and his close associates hold 221 300 shares in
the Company.
· Hege Njå Bjørkmann, EVP Communication and Brand, has been allocated 2 575
gift shares. After the transaction, Hege Njå Bjørkmann and her close associates
hold 146 755 shares in the Company.
· Helge Hesjedal Wiberg, board member, has been allocated 2 575 gift shares.
After the transaction, Helge Hesjedal Wiberg and his close associates hold 43
175 shares in the Company.
· Kathrine Duun Moen, EVP Technogarden, has been allocated 2 575 gift shares.
After the transaction, Kathrine Duun Moen and her close associates hold 112 312
shares in the Company.
· Kjell Selfors Nilsen, deputy board member, has been allocated 2 575 gift
shares. After the transaction, Kjell Selfors Nilsen and his close associates
hold 107 150 shares in the Company.
· Lars-Petter Nesvåg, board member, has been allocated 2 575 gift shares.
After the transaction, Lars-Petter Nesvåg and his close associates hold 671 308
shares in the Company.
· Marisa Ruiz Retamar, EVP Human Resources, has been allocated 2 575 gift
shares. After the transaction, Marisa Ruiz Retamar and her close associates hold
68 262 shares in the Company.
· Sandra Kuru, board member, has been allocated 2 575 gift shares. After the
transaction, Sandra Kuru and her close associates hold 9 224 shares in the
Company.
· Sigri Rosø Pladsen, deputy board member, has been allocated 2 575 gift
shares. After the transaction, Sigri Rosø Pladsen and her close associates hold
6 210 shares in the Company.
· Sten-Ole Nilsen, EVP Renewable Energy, has been allocated 2 575 gift shares.
After the transaction, Sten-Ole Nilsen and his close associates hold 589 680
shares in the Company.
· Sverre Eide Holst, deputy board member, has been allocated 2 575 gift
shares. After the transaction, Sverre Eide Holst and his close associates hold
53 499 shares in the Company.
· Sylvia Teige, director group finance, has been allocated 2 575 gift shares.
After the transaction, Sylvia Teige and her close associates hold 184 910 shares
in the Company.
· Thomas Bolding Rasmussen, EVP Denmark, has been allocated 2 575 gift shares.
After the transaction, Thomas Bolding Rasmussen and his close associates hold
187 370 shares in the Company.
· Vegard Jacobsen, EVP Norway Regions, has been allocated 2 575 gift shares.
After the transaction, Vegard Jacobsen and his close associates hold 392 499
shares in the Company.
