CADELER A/S: Results of the extraordinary general meeting of Cadeler A/S held on 11 November 2024

Copenhagen, 11 November 2024 – Cadeler A/S (“Cadeler”) today held an
extraordinary general meeting, at which all proposals were adopted as proposed
in the notice convening the extraordinary general meeting, resulting in the
following resolutions:

• Election of the chair of the general meeting as proposed;
• Approval of the proposal from the Board of Directors to amend Article 9.1 of
the Articles of Association to allow for the Board of Directors to consist of up
to seven members; and
• Election of Thomas Thune Andersen as a new member of the Board of Directors,
to serve for an initial term expiring upon Cadeler’s 2026 annual general
meeting.
