Itera acquires companies to establish office in the Stavanger region
08 Nov 2024 07:15 CET
Issuer
Itera ASA
On November 7, Itera acquired 100% of the shares in Revoltr AS and Mosaique
Headhunting Stavanger AS from Mosaique Holding AS. The settlement is a
combination of cash and Itera shares, including an earn-out clause based on
future performance.
The combined value of shares in the initial settlement for both companies
amounts to NOK 4,725,000. The share price at the time of transfer was NOK 10.24
per share, determined by calculating the volume-weighted average price on the
Oslo Stock Exchange over the preceding 10 trading days. As a result, Mosaique
Holding AS will receive a total of 461,567 shares from Itera ASA's own share
reserve. Following the transaction, Itera will retain ownership of 681,898 of
its own shares.
The acquisition and use of own shares are based on the authorization granted at
Itera ASA's Annual General Meeting on 22 May 2024 and registered with the
Brønnøysund Register Centre with validity until June 30, 2025.
