Reference is made to Techstep ASA's ("Techstep" or the "Company") stock exchange
announcement on 9 October 2024 regarding the launch of a private placement of
NOK 30 million by issuing up to 2,777,777 new ordinary shares in the Company
(the "Offer Shares") (the "Private Placement").

The Company hereby announces that the Private Placement has been successfully
placed and that it has issued and allocated 2,777,777 new ordinary shares (the
"Offer Shares") in the Private Placement at a subscription price of NOK 10.80
per Offer Share (the "Offer Price"), raising gross proceeds of approximately NOK
30 million.

Arctic Securities AS acted as sole manager and bookrunner (the "Manager") in
connection with the Private Placement.

The net proceeds from the Private Placement will be used for capex needed to
develop and accelerate the efforts towards newly signed agreements,
strengthening the Company's liquidity buffer as well as other general corporate
purposes.

Notification of allocation is expected to be sent to the applicants by the
Manager before 09:00 hours CEST on 10 October 2024.

The following primary insiders and close associates of primary insiders were
allocated Offer Shares at the Offer Price:

· Datum AS has been allocated 512,463 Offer Shares. Datum AS is a close
associate of member of the  board of directors of the Company (the "Board"),
Harald Arnet.

· Karbon Invest AS has been allocated 383,927 Offer Shares. Karbon Invest is a
close associate of member of the Board, Jens Rugseth.

· Michael Jacobs, chairman of the Board, has been allocated and subscribed
20,000 Offer Shares.

· Mia Unhjem Meier, a close associate of Morten Meier the CEO of the Company,
has been allocated and subscribed 50,000 Offer Shares.

In addition to the above, Valset Invest AS was allocated 740,740 Offer Shares at
the Offer Price.

Settlement of the Offer Shares to the investors in the Private Placement is
expected to take place on or about 14 October 2024 on a delivery-versus-payment
basis. Delivery of the Offer Shares allocated in the Private Placement will, in
order to facilitate delivery-versus-payment, be made by delivery of existing and
unencumbered shares in the Company already admitted to trading on Oslo Børs to
be borrowed from Datum AS, pursuant to a share lending agreement entered into
between the Company, the Manager and Datum AS. The Offer Shares delivered to the
subscribers will thus be tradable on Oslo Børs from the applicants receipt of
the notification of allocation. The share lending will be settled with new
shares in the Company resolved issued by the Board pursuant an authorization
granted by the Company's annual general meeting held on 29 May 2024, and
following registration in the Norwegian Register of Business Enterprises and the
issue and registration of the Offer Shares in the VPS.

Following registration of the share capital increase in the Norwegian Register
of Business Enterprises, the Company will have a share capital of NOK 34,407,158
divided into 34,407,158  shares, each with a par value of NOK 1.

The Private Placement represents a deviation from the shareholders' preferential
rights to subscribe for the Offer Shares. The Board has considered the Private
Placement in light of the equal treatment obligations under the Norwegian
Securities Trading Act, Oslo Børs' Circular no. 2/2014, Euronext Oslo Rule Book
II and the Public Limited Liability Companies Act, and is of the opinion that
the proposed Private Placement is in compliance with these requirements. The
Board is of the view that it will be in the common interest of the Company and
its shareholders to raise equity through a private placement. By structuring the
equity raise as a private placement, the Company is expected to raise equity
efficiently, with a lower discount to the current trading price, at a lower cost
and with a significantly reduced completion risk compared to a rights issue.

The Company has considered a rights issue instead of a private placement. The
Company is of the opinion that a rights issue would have to be on a fairly
significant discount, and guaranteed by a consortium of underwriters which would
also be an added cost for the Company. In summary, the Company expects to be in
a position to complete the share issue in today's market conditions in an
efficient manner, at a higher subscription price and at significantly lower cost
and with a lower completion risk than would have been the case for a rights
issue. As a consequence of the private placement structure, the shareholders'
preferential rights to subscribe for the Offer Shares have been deviated from.

Further, the Board has considered carrying out a subsequent repair issue
directed towards shareholders that were not allocated shares in the Private
Placement. After a thorough assessment of the Company's current situation and
the basis for carrying out the Private Placement and to deviate from the
shareholders' preferential rights, the Board has concluded that it is not
necessary or required to carry out a subsequent repair offering  in light of the
equal treatment obligations.

Arctic Securities AS is acting as sole manager and bookrunner in connection with
the Private Placement. AGP Advokater AS is acting as legal advisor to the
Company in connection with the Private Placement.
