Certain warrant holders have exercised a total of 1,102,976 warrants in Ventura
Offshore Holding Ltd.(the "Company"). Each warrant entitles the holder to one
(1) share in the Company ("Share"). As a result, the Company has issued
1,102,976 Shares, each with a par value of USD 0.01. Following this share issue,
the issued share capital of the Company is USD 1,057,123.60 divided into
105,712,360 common shares, each with a par value of USD 0.01. The authorised
share capital of the Company is USD 1,700,000 divided into 170,000,000 shares
each with a par value of USD 0.01.
