Completion of the merger between SpareBank 1 SR-Bank ASA and SpareBank 1 Sørøst-Norge, forming SpareBank 1 Sør-Norge ASA

Reference is made to the stock exchange notice of 26 October 2023, 5 December
2023, 17 April 2024 and 24 September 2024 regarding the planned merger between
SpareBank 1 SR-Bank ASA og SpareBank 1 Sørøst-Norge.

The merger between SpareBank 1 SR-Bank ASA and SpareBank 1 Sørøst-Norge has
today been registered in the Register of Business Enterprises and thus
completed. SpareBank 1 SR-Bank ASA is the acquiring bank, and in connection with
the merger, the bank is changing its new name to SpareBank 1 Sør-Norge ASA.

At the same time, an increase in share capital of NOK 2,779,683,450 has been
registered through issuing a total of 111,187,338 new shares as consideration
for the equity capital and primary capital in SpareBank 1 Sørøst-Norge, each
with a nominal value of NOK 25 and at a subscription price of NOK 130.60 per
share. All shares have been issued to the existing equity certificate holders in
SpareBank 1 Sørøst-Norge. Of these, 32,666,869 shares have been issued to
SpareBank 1 Stiftelsen BV, 25,033,916 to Sparebankstiftelsen Telemark,
15,623,606 to Sparebankstiftelsen SpareBank 1 Modum, 5,262,839 to
Sparebankstiftelsen Nøtterøy-Tønsberg og 4,948,876 to Sparebankstiftelsen
Telemark – Holla og Lunde. The remaining shares have been issued to the other
owners in SpareBank 1 Sørøst-Norge.

Following the issuance of new shares, the total share capital will amount to NOK
9,386,407,675 divided into 375,456,307 shares with a nominal value of NOK 25.
